Transfer of ownership of an entity does not change or alter the entity itself. But there are a few pieces of the Limited Liability Company structure that should be examined when an LLC is sold.<\/p>\n
If the LLC has been issued its own federal tax ID number by the IRS, then this tax ID number would continue to be utilized by the LLC after the sale or transfer of the ownership units to the third party purchaser or transferee.<\/p>\n
The Statutory Agent can and probably should be changed, but there is no legal requirement to change the agent.<\/p>\n
Information concerning officers, directors, owners, etc. are generally not provided to any state agency, so it is unlikely that any filings are required for such situations.<\/p>\n
However, if the LLC has unemployment or workers’ compensation coverage, or are in a business where a license is required (e.g. plumber) it may serve the new owner of the LLC to contact these agencies and inquire if updated information should be provided.<\/p>\n
