If I File for LLC or Incorporation This Year, May I Delay the Operation of the Business Until Next Year?

The filing of the paperwork to form an LLC or to incorporate does not obligate the entity to immediately begin conducting business.

But as is typical, that doesn’t mean that there won’t be some government requirements for the formed business. Once the entity is created, there may be some modest reporting or tax filing requirements for the year in which the business was formed, even if no business is conducted in that year. We suggest you review the information posted to your state’s Secretary of State website, as well as any city, county or state tax agencies, to see what these minimum requirements may be.

See their respective pages on the Standard Legal website to easily and affordably create the legal documents required to file and document a Limited Liability Company or Corporation in any state.
